SoloSales Terms and Conditions

1. Acceptance of Terms
By accessing or using www.solosales.com (the “Platform”), operated by Solosales Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms apply to all users, including Employers (businesses or individuals seeking sales services) and Solosales (independent freelancers, agencies, or part-time sales representatives offering services). If you do not accept these Terms, you must cease using the Platform immediately.
2. Definitions
The term “Platform” refers to www.solosales.com and its associated mobile applications. “Solosales” denotes users who provide sales services, whether as independent freelancers or agencies. “Employers” are users who purchase services or post jobs. “Services” are predefined offerings created by Solosales for direct purchase by Employers, while “Jobs” or “Projects” are task-based opportunities posted by Employers for Solosales to apply. “Commission” signifies the fee deducted by the Platform from transactions.
3. Account Registration
To use the Platform, you must be at least 18 years old and legally capable of entering binding contracts. During registration, you agree to provide accurate information, such as identity verification and tax details. You are solely responsible for maintaining account security, including password confidentiality. Promptly notify us at support@solosales.com of any unauthorized account access.
4. User Responsibilities
Solosales must accurately describe their services, including deliverables, pricing, and timelines, and apply only to relevant Jobs/Projects with truthful qualifications. They are expected to perform work ethically and comply with all applicable laws. Employers must clearly define the scope, budget, deadlines, and requirements of their Job/Project listings, ensure timely payment via Platform-approved methods, and communicate respectfully without harassment or discrimination. All users are prohibited from posting fraudulent, illegal, or offensive content; circumventing Platform payments; infringing intellectual property; or disclosing confidential information without consent.
5. Services and Job Listings
Solosales may create fixed-price “Services” for Employers to purchase instantly, with prices encompassing all foreseeable costs unless explicitly disclosed otherwise. Employers may post “Jobs” or “Projects” for Solosales to apply, retaining discretion in selecting applicants. Solosales may withdraw applications before formal acceptance by the Employer.
6. Payments, Fees, and Commissions
For Services, Employers pay upfront, with funds held in escrow until delivery or completion. For Jobs/Projects, Employers fund escrow upon accepting a Solosales applicant. The Platform charges a 15% Commission on all transactions, including Service purchases and Job/Project payments. For example, a $100 Service results in $85 for the Solosales and $15 retained by the Platform. This rate may be adjusted with 30 days’ notice. Paid Membership tiers (e.g., Basic, Pro, Enterprise) offer benefits such as reduced commissions, enhanced profile visibility, and analytics tools. Membership fees are billed monthly or annually and auto-renew unless canceled via account settings; no prorated refunds apply.
7. Dispute Resolution and Refunds
Disputes must be reported within 14 days of work completion. The Platform will mediate impartially and may request evidence like contracts or communications. Refunds are issued for undelivered or materially non-compliant services or upon mutual agreement, with the Platform reserving final decision rights.
8. Intellectual Property
Solosales retain ownership of pre-existing materials. Employers own deliverables upon full payment. By using the Platform, users grant Solosales Inc. a non-exclusive, worldwide license to display content solely for Platform operations.
9. Termination and Suspension
Users may close accounts anytime via the dashboard, provided all pending transactions are resolved. The Platform may suspend or terminate accounts for breaches of these Terms, fraudulent/illegal activity, or prolonged inactivity exceeding 12 months.
10. Disclaimers and Liability
The Platform is provided “as-is.” We facilitate connections but do not endorse users or guarantee work quality. Users engage Solosales or Employers at their own risk. Our liability is limited to fees paid to us in the preceding six months, excluding indirect damages like lost profits or data loss.
11. Governing Law and Disputes
These Terms are governed by the laws of Hong Kong SAR. Disputes will first undergo informal negotiation, followed by binding arbitration. Claims must proceed individually, waiving class actions.
12. Amendments
We may update these Terms with 30 days’ notice via email or Platform notification. Continued use after changes constitutes acceptance.
